IDEOGEN Group GmbH is a limited liability company (Gesellschaft mit beschränkter Haftung) incorporated and registered in Switzerland under the laws of Switzerland. References throughout these Terms to "IDEOGEN", "we", "us", and "our" refer to IDEOGEN Group GmbH and, where the context requires, its affiliated entities and subsidiaries.
These Terms of Use ("Terms") govern your access to and use of:
(a) the corporate website located at www.ideogen.com and all subdomains, subdirectories, and language versions thereof (the "Website");
(b) the IDEOGEN Partner Platform, accessible through the Website, which provides registered partners, healthcare professionals, and authorized users with access to order placement functionality, the medicine tracking service, and related tools (the "Partner Platform"); and
(c) any information, content, materials, tools, features, and functionality made available through the Website or Partner Platform (collectively, the "Services").
By accessing or using the Website or the Partner Platform, you confirm that:
(a) you have read, understood, and agree to be bound by these Terms;
(b) you have the legal capacity to enter into a binding agreement in the jurisdiction in which you are located; and
(c) if you are accessing the Website or Partner Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must immediately cease use of the Website and Partner Platform.
Certain services, features, or sections of the Website or Partner Platform may be subject to additional terms and conditions ("Supplementary Terms"), including but not limited to partner agreements, supply agreements, and managed access program agreements. In the event of any conflict between these Terms and applicable Supplementary Terms, the Supplementary Terms shall prevail with respect to the relevant service or feature.
IDEOGEN provides the following through the Website and Partner Platform:
The Website provides general information about IDEOGEN Group GmbH, its affiliated entities, its business activities in specialty therapeutics, managed access programs, and marketing authorizations, and related corporate matters.
The Website provides medical and pharmaceutical information relating to IDEOGEN's product portfolio. This information is provided for educational and informational purposes only and is subject to the medical and pharmaceutical disclaimers set out in Section 9 of these Terms. Product information provided on the Website may be country-specific and does not constitute an offer, solicitation, or recommendation to prescribe, purchase, or use any particular pharmaceutical product.
The Partner Platform is a restricted-access digital service available exclusively to registered and authorized users, including healthcare professionals, licensed wholesalers, hospital pharmacies, and other authorized trade partners. The Partner Platform provides, inter alia:
(a) Order Placement: functionality enabling authorized partners to submit purchase orders for IDEOGEN products, subject to applicable supply agreements and local regulatory requirements;
(b) Medicine Tracker: a service enabling authorized users to track the status and logistics of ordered products; and
(c) Document Repository: access to approved product documentation, including product information, packaging materials, and other regulatory documents, subject to jurisdictional restrictions.
Access to and use of the Partner Platform is subject to the provisions of Section 6 of these Terms in addition to any applicable Supplementary Terms.
The Website provides a structured reporting form and related information to enable healthcare professionals, patients, and other persons to report suspected adverse reactions, medication errors, and product quality complaints in accordance with IDEOGEN's pharmacovigilance obligations. See also the Pharmacovigilance and Medical Information Disclaimer published on the Website.
The Website provides a mechanism for healthcare professionals to submit medical information requests. Responses are provided by IDEOGEN's medical affairs team and are for informational purposes only. Response times may vary and are not guaranteed.
You agree to access and use the Website and Partner Platform solely for lawful purposes and in compliance with:
(a) these Terms;
(b) all applicable laws and regulations, including those of Switzerland, the European Union, and the jurisdiction in which you are located; and
(c) any applicable Supplementary Terms.
You must not, in connection with your use of the Website or Partner Platform:
(a) use the Website or Partner Platform for any fraudulent, deceptive, or unlawful purpose;
(b) attempt to gain unauthorized access to any part of the Website, Partner Platform, or IDEOGEN's computer systems, servers, or networks, or to any accounts, data, or information belonging to IDEOGEN or any third party;

When submitting any information to IDEOGEN through the Website or Partner Platform, including pharmacovigilance reports, medical information requests, registration applications, and order submissions, you warrant that all information you provide is accurate, complete, and not misleading. You acknowledge that the submission of false, incomplete, or misleading information — including in the context of pharmacovigilance reporting — may have serious public health consequences and may constitute a regulatory offence under applicable law.
Access to the Partner Platform requires prior registration and approval by IDEOGEN. Access is granted at IDEOGEN's sole discretion and is limited to:
(a) licensed healthcare professionals (physicians, pharmacists, and other authorised HCPs) in jurisdictions in which IDEOGEN operates;
(b) licensed wholesale distributors, hospital pharmacies, and other authorized trade partners with whom IDEOGEN has entered into a written supply or distribution agreement; and
(c) other persons expressly authorized by IDEOGEN in writing.
By applying for access to the Partner Platform, you represent and warrant that you meet the eligibility criteria applicable to your user category.
You are solely responsible for maintaining the confidentiality and security of your login credentials (username and password). You must:
(a) not disclose your login credentials to any other person;
(b) not permit any other person to access the Partner Platform using your account;
(c) notify IDEOGEN immediately at [email protected] if you become aware of or suspect any unauthorized use of your account or any security breach; and
(d) ensure that you log out of your account at the end of each session, particularly when using a shared or public device.
IDEOGEN shall not be liable for any loss or damage arising from your failure to comply with the account security obligations set out in this Section 5.2.
You may use the Partner Platform only for the purposes for which access was granted to you, in accordance with these Terms and any applicable Supplementary Terms. You must not use your Partner Platform account for any purpose other than the legitimate business purposes for which it was established.
Order placement and medicine tracking functionalities within the Partner Platform are subject to the terms of any applicable supply agreement, distribution agreement, or managed access program agreement between you and IDEOGEN. These Terms do not create or modify any contractual rights or obligations with respect to the supply of pharmaceutical products. Product availability, pricing, and delivery terms are governed exclusively by the applicable Supplementary Terms.
IDEOGEN reserves the right to suspend or terminate your access to the Partner Platform at any time, without notice, if:
(a) you breach these Terms or any applicable Supplementary Terms;
(b) IDEOGEN reasonably suspects fraudulent or unauthorized activity associated with your account;
(c) your registration information is found to be inaccurate or misleading;
(d) IDEOGEN is required to do so by applicable law, regulatory authority, or court order; or
(e) your authorisation to practice as a healthcare professional or your applicable business licence is revoked, suspended, or expires.
All content, materials, and information made available on the Website and Partner Platform, including but not limited to text, articles, data, graphics, photographs, illustrations, logos, trademarks, service marks, trade names, software, databases, audio and video files, and the overall selection and arrangement thereof (collectively, "Content"), are the exclusive property of IDEOGEN Group GmbH or its licensors and are protected by Swiss copyright law, the Berne Convention, and applicable international intellectual property laws and treaties.
The name "IDEOGEN", the IDEOGEN logo, and all related names, logos, product and service names, designs, and slogans are registered or unregistered trademarks and service marks of IDEOGEN Group GmbH in Switzerland and/or other jurisdictions. You irrevocably submit to the exclusive jurisdiction of those courts.
Notwithstanding Section 18.2, nothing in these Terms shall limit any rights you may have under mandatory consumer protection or other mandatory laws applicable in your country of residence that cannot be derogated from by agreement. If you are a consumer within the meaning of applicable law, you may also have the right to bring proceedings in the courts of your country of residence.
These Terms, together with IDEOGEN's Privacy Policy, Cookie Policy, Pharmacovigilance and Medical Information Disclaimer, and any applicable Supplementary Terms, constitute the entire agreement between you and IDEOGEN with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the Website, Partner Platform, and the Services.
